NEW DELHI: Roshni Nadar Malhotra has become the third richest Indian. This follows Shiv Nadar gifting 47 percent of his stake in HCL Corp and Vama Delhi to his daughter. Earlier, She held 51 percent in both entities, while Roshni Nadar held 10.33 percent.
The transfer happened through gift deeds on March 6, 2025. The transfer was part of a planned succession strategy. This move gives Roshni control over both entities.
HCL Corp and Vama Delhi are key promoter entities of HCL Technologies. Before this transfer, the promoter group held over 60 percent in HCL Technologies. This shareholding remains unchanged. Shiv Nadar only transferred his stake in the promoter entities.
The restructuring does not impact HCL Technologies’ shareholding. The company’s total shareholding remains 1,65,03,00,415 equity shares.
HCL Infosystems also confirmed Roshni Nadar as its largest shareholder. Vama Delhi holds 12.94 percent, and HCL Corp holds 49.94 percent in HCL Infosystems.
With this change, Roshni Nadar gains control over these voting rights. The succession plan ensures stability in the leadership of the HCL Group.
The transfer positions Roshni Nadar as India’s third-richest individual. Shiv Nadar’s net worth was $35.9 billion before the transfer. Now, Roshni Nadar holds this position on Bloomberg’s billionaire list.
Mukesh Ambani leads the list with $88.1 billion. Gautam Adani follows with $68.9 billion. Roshni Nadar now holds the third spot after gaining her father’s stake.
Roshni Nadar has led HCL Technologies as chairperson since July 2020. Under her leadership, the company has grown steadily.
She is a graduate of Northwestern University with an MBA from the Kellogg School of Management. Roshni Nadar is also involved in various global organizations.
She serves on the MIT School of Engineering’s Dean’s Advisory Council. She is also on the Kellogg School of Management’s Executive Board for Asia.
Roshni Nadar is an independent director at HDFC Asset Management Company. She is also a member of the US-India Strategic Partnership Forum (USISPF).
Through the Shiv Nadar Foundation, she supports education initiatives across India.
In 2010, Roshni Nadar married Shikhar Malhotra, vice chairman of HCL Healthcare. The couple has two sons, Armaan and Jahaan.
This family arrangement ensures the Nadar family retains control over HCL Technologies. The leadership change aims to provide stability and secure HCL Group’s future growth.
